A limited liability company ("LLC") offers its members
protection from liability similar to that enjoyed by shareholders
of a corporation. Such entity may be taxed for federal tax purposes
as a disregarded entity (i.e., a sole proprietorship), a partnership,
as association or a corporation. Our office is experienced in
the formation of the limited liability companies and the preparation
of operating agreements (regulations). We are available to discuss
the advantages and disadvantages of the different tax treatments.
We are also experienced in converting an existing entity into
a LLC, incorporating the use of a LLC in a like-kind exchange,
and in creating a LLC for the purpose of forming a special purpose
entity (SPE).
